Biography

Erin Paternostro concentrates her practice in the areas of energy and natural resources law and real estate transactions. Erin focuses on complex mineral acquisitions and divestitures, and she regularly advises clients on a wide range of operational and land-related matters.

Representative Experience

  • Represented energy company in real property aspects of a stock sale divestiture of coal mines across several states, including pre-closing internal reorganizations and the preparation and recording of property transfer documents involving millions of acres and multiple entities
  • Managed the preparation and recording of property transfers and related instruments for the separation of a Fortune 500 company’s coal and gas operations into two publicly traded organizations
  • Represented coal mining companies in multi-million dollar acquisitions and divestitures of coal mines and related assets and facilities, including advising on property rights, negotiating contract terms, preparing necessary transactional documents, and performing associated due diligence
  • Managed the preparation and recording of property transfer documents for joint ventures involving Marcellus and Utica assets across multiple states
  • Extensive experience in preparing purchase and sale agreements, trade agreements, surface use agreements, deeds, leases, easements, and other related transactional agreements, and in abstracting and preparing complex coal, oil and gas title opinions throughout the Appalachian Basin
