Biography
Clients say that Bryan Prosek is easy to work with and shares their drive to get the deal done, and to get it done right. During complex, fast-paced business transactions, he acts both as the keeper of the details and the ring master, making sure that critical tax, securities, employee benefits, labor and employment, and operational elements are addressed. As team leader of the Corporate and M&A group, Bryan advises clients on securities offerings, federal and state securities compliance, mergers and acquisitions, real estate, contracts, license agreements, corporate governance, banking and finance, corporate and partnership tax planning, and non-profit tax-exempt matters. Bryan’s clients work in a variety of industries, including manufacturing, food service, technology, professional services, and financial institutions.

- Represented start-up companies for choice of entity, tax, capitalization, and financing matters
- Represented client in procuring debt and equity financing for the construction of a multi-million dollar facility
- Represented an Ohio corporation in preparing and negotiating multiple agreements for the research, design, and construction of a tire recycling facility
- Represented client in the land acquisition and bond financing for the construction of a multi-million dollar steel factory
