Biography

Pete Spangler focuses his practice on corporate and transactional law, with an emphasis on mergers and acquisition work, entity formation, and structure, corporate governance and matters of corporate law applicable to for-profit and nonprofit entities, and contract preparation, review, and negotiation. Pete also handles commercial real estate transactions. He has vast experience representing landlords and tenants in office, restaurant, and retail leasing.

Representative Experience

  • Structured and negotiated merger, acquisition, and divestiture transactions
  • Counseled owners of small and medium-sized businesses at all stages of their business life-cycle, from entity selection and formation, to developing and implementing an orderly business succession plan
  • Advised private for-profit and not-for-profit entities on corporate governance matters, including the role and responsibilities of directors
  • Helped nonprofit and charitable organizations apply for and maintain tax-exempt status
  • Represented both landlords and tenants in a wide variety of commercial leasing transactions, including creating, maintaining, and negotiating standard-form lease agreements and related documentation for landlords managing a portfolio of properties and tenants with leased locations in multiple states
  • Assisted with purchases and sales of commercial and residential real estate
  • Advised on software and intellectual property licensing
