    Josh Stearns is a trusted advisor for clients in a number of different and unique industries.  Josh has a diverse practice that includes corporate transactions, state and federal regulatory compliance, real estate, as well as labor and employment. 

    Josh also works in the area of the Food, Drug, and Cosmetic Act (FDCA) and the Dietary Supplement Health and Education Act (DSHEA), where he helps companies successfully bring their products to market by counseling them on the terms of commercial transactions, such as supply, licensing, and distribution agreements.  Josh also advises companies that manufacture and distribute natural products on compliance with regulations governing their products, including their labeling, advertising, and marketing materials. 

    Clients across multiple industries appreciate Josh’s proactive approach to regulatory compliance. For healthcare clients, Josh obtains approvals from state and federal health care agencies for changes of ownership to provider enrollments and licenses. He’s also reviews physician employment agreements to ensure compliance with the Stark Law and Anti-Kickback Statute.  Josh also has experience with regulations governing higher education, including those regarding vaccinations, contact tracing and reasonable accommodations on campuses.

    As a business lawyer, Josh is intimately involved with all aspects of corporate transactions where he helps structure deals, drafts and negotiates contract terms for operating, asset and real estate purchase agreements.  Additionally, Josh is experienced with federal and state Securities Law, where he helps issuers and offerees ensure that securities offerings, such as private placement memorandums comply with the Securities Act, SEC regulations and state Blue Sky Laws.  Josh also helps clients avoid and resolve employment issues by implementing employer friendly policies and advising employers on the risks of employment related actions. 

    As a former student-athlete in college, Josh understands the importance of clear communication and attention to detail, no matter the circumstance, and this is what clients get when they work with Josh.
